Dordrecht, 10 August 2010
The ICS Management Team is pleased to
advise you that CVC Capital Partners has entered into an agreement
with Charterhouse Capital Partners to become the majority
shareholder in Charden International BV, the ultimate parent
company of ICS International B.V.
The transaction cannot complete until it
has been through European Merger Regulation to get clearance, which
means that CVC should become our majority shareholder, by October
2010.
CVC are one of the world's largest
private equity / investment managers with over 400,000 people
working in businesses under their control.
We believe the transaction is an exciting
development and in the interests of ICS International B.V. and its
employees. We are convinced that CVC is a strong partner that will
help to take our company to the next level in terms of growth and
operational improvement.

ICS at the
fair
Venditalia
The Venditalia fair in Milan took place from 28 April to 1
May. This is an international fair, specifically aimed at the
vending market, which increases in significance. The participation
of ICS to this fair has gone successfully, with visitors from more
than 20 different countries. Given the large success of this fair
participation we can also be found on the next Venditalia which
will take place in Milan from 9 to 12 May 2012.
